GENERAL TERMS AND CONDITIONS OF SALE, DELIVERY AND PAYMENT 

1. Scope of Applicability

• These general terms and conditions of sale, delivery and payment (the “Terms and Conditions”) will govern and apply to the sale, delivery and payment of goods bought from Methode Electronics Malta Limited (acting through its subdivision of Hetronic) – the (“Seller”) by you (the “Buyer”).

• The Buyer shall be deemed to have accepted these Terms and Conditions at the time of placing the order.

• These Terms and Conditions may be updated from time to time at the sole discretion of the Seller; therefore the Buyer should read these carefully prior to the placing of an order. Other terms and conditions may apply to any specific and/or third party services (including those services provided through the website) and, should there be an inconsistency between these Terms and Conditions and any specific terms and conditions, the specific terms and conditions shall apply.

• In the event that any provision of these Terms and Conditions shall be held to be invalid, the validity of the remaining provisions such shall remain unaltered and in force.

2. Conclusion of sale and Right of Withdrawal

• The Buyer's order is an offer to buy the product/s indicated in the order. Upon placing an order, Seller shall send an email confirming receipt of the order together with the details of that order. This order confirmation is acknowledgement that the order has been received and is not tantamount to acceptance by the Seller to fulfil the order.

• The order shall be accepted, and the contract of sale concluded, once the products requested in the order are dispatched and an email is sent confirming the dispatch. Separate orders or orders consisting of a number of different goods placed by the Buyer will be dispatched as one order unless the Buyer informs or requests otherwise. If the Buyer’s order is dispatched in more than one package, the Buyer may receive a separate dispatch confirmations for each package, and each dispatch, and corresponding dispatch confirmation, will be a separate contract of sale. An offer to purchase products may be cancelled, at no cost, any time before the dispatch confirmation relating to that product is sent by the Seller.

• Drawings, pictures, measures, weights, or other information included on the website are for illustration purposes only and shall not be binding and may be different to the good/s delivered. The Seller shall not be liable to replace those goods delivered to the Buyer if they are different to those shown or described on the website as long as they are of the same nature and/or serve the same purpose. Ownership and copyrights remain reserved.

3. Prices

• Prices quoted are net and exclusive of any value added taxes (unless shown). Other costs and charges (including but not limited to packaging, customs clearance, transport, transport insurance and freight) shall be subject to the delivery terms under clause 5 and shall be payable by the Buyer.

• The Seller shall, insofar as practicable, ensure that all the prices on the website are accurate, however mispricing may occur. If Seller discovers an error in the price of goods which the Buyer would have ordered, Seller will inform Buyer as soon as possible and give Buyer the option of reconfirming the order at the correct price or cancelling it.

4. National post/telecommunications regulations and exports

• The Buyer shall be solely responsible for obtaining approval and/or verifying available frequencies for use of the radio remote control apparatus with the respective national authorities at intended places of use prior to purchasing the goods. Refunds shall not be given for the Buyer’s failure under this clause 1.

• The Buyer shall not re-sell or forward any goods for onward resale to any customer overseas. Should the Buyer default of its obligation, it shall do so at its sole risk and any guarantees made by the Seller under these Terms and Conditions shall not apply for the benefit of the Buyer and / or any other third party. Seller shall accept no responsibility for product liability, and fault, in relation to the Buyer and third parties.

5. Shipping & Delivery

• The Seller will not stock any built-to-order goods and delivery of such goods shall be subject to the estimated lead times notified to the Buyer. The Seller shall not be liable for any late deliveries or extended lead times. Stocked goods shall be subject to availability depending on the quantity and type required by the Buyer.

• Goods shall be shipped and delivered to the Buyer under and subject to CFR (Cost and freight) as defined in Incoterms (2010). The Buyer shall be responsible to insure the goods bought against any damage or loss incurred during carriage. In the event of a claim, Buyer shall notify the Seller of any damage or loss in writing immediately upon delivery of the goods, providing details and documentation of the claim for damage/loss from the shipping company.

• Unless agreed otherwise, delivery will be made to the delivery address indicated by Buyer. Any information about availability, shipping or delivery of a product is merely estimated information and contains approximate values and does not constitute binding or guaranteed shipping or delivery dates, unless expressly stated otherwise.

• Failed and re-delivery shall be at the cost of the Buyer.

6. Payment

• Payments will be processed via a third party service provider and all applicable terms of service (as may be updated from time to time) of the third party service provider shall apply. Information relating to the third party service provider may be found at https://www.braintreepayments.com.

• The Buyer waives all rights of retention or set off against the Seller.

7. Reservation of ownership

• The Seller retains ownership of the goods delivered to the Buyer, which may only be sold under the terms of properly conducted business transactions, until all claims, including any claims arising from invoices issued by the Seller have been paid. This reservation of ownership also covers goods delivered for exchange.

• If goods sold are returned by the Buyer to the Seller for verification or checking, such action shall not terminate the contract of sale, even though subsequent agreement may be reached upon reduction of the price or quantity.

8. Warranty and damages

• The Seller shall remedy any defects in the goods sold arising from manufacture or associated with materials used by either repairing or replacing such goods, at the Seller's sole discretion. In any event, the warranty given by the Seller shall be subject to the following limitations:

• The warranty period (duration) shall commence from the date indicated on the Seller’s invoice.

• The Seller accepts no liability, particularly in relation to damages arising on anything but the delivered goods themselves, unless the Seller or its agents (excluding carriers) are shown to have wilfully acted recklessly or with gross negligence. The Seller may provide this warranty through a third party at its sole discretion.

• The Seller's warranty shall only apply if claims are notified in writing on the earlier of either 14 days of receipt of the goods, as applicable. In addition to the conditions stipulated under this clause 8, the Seller's warranty shall generally be voided if the goods have been tampered with, altered and/or misused. The warranty shall not apply in the event of any normal wear and tear, or non-observance of operating, installation and maintenance instructions, or the use of inadequate or inappropriate equipment.

• The Buyer is responsible for checking the suitability of the goods for the operating conditions required and in relation to any requirements pertaining to regulations on the prevention of accidents. Any complaints in this regard must be made to the Seller in writing within 14 days from delivery.

11. General Items

• The applicable law for the Terms and Conditions of business and for the entire legal relationship between the vendor and the purchaser is that of the Republic of Malta. The provisions of the Hague Conventions relating to a Uniform Law on the International Sale of Goods (CISG) do not apply.

• The place of fulfilment and exclusive jurisdiction for all current and future claims is the Republic of Malta and the respective Courts and Tribunals.

• If any of the provisions of these Terms and Conditions are invalid or should become invalid, this will not affect the validity of any of the other provisions.

• Amendments and supplements to these Terms and Conditions shall be at the sole discretion of the Seller and it shall be the Buyer’s obligation to ensure that it is acting under the most recent version prior to placing an order.
